Terms of Service

These Terms of Service govern all purchases, orders, quotes, deposits, deliveries, pickups, services, and transactions with Web Restaurant Equipment. By placing an order, making a payment or deposit, accepting delivery, picking up equipment, or otherwise purchasing from Web Restaurant Equipment, the customer agrees to these Terms of Service.

1. Product Information and Availability

Web Restaurant Equipment makes reasonable efforts to provide accurate product descriptions, specifications, photographs, pricing, and availability.

Product specifications, colors, dimensions, features, model numbers, and manufacturer information may change without notice.

Photographs may be representative and may not show the exact condition of used equipment.

Inventory is subject to prior sale and availability.

Web Restaurant Equipment reserves the right to correct pricing, description, inventory, or typographical errors and to cancel or revise an order affected by such an error.

2. Used Equipment – AS-IS, WHERE-IS

All used equipment is sold AS-IS, WHERE-IS, WITH ALL FAULTS.

Used equipment may have cosmetic wear, scratches, dents, discoloration, missing accessories, prior repairs, or other signs of previous use.

Unless a specific written warranty is stated on the invoice, Web Restaurant Equipment makes no warranty, express or implied, on used equipment.

All sales of used equipment are final.

Used equipment is not eligible for:

  • Return

  • Exchange

  • Refund

  • Credit

  • Chargeback based solely on condition, appearance, age, prior use, or normal wear

Customers are responsible for inspecting used equipment before purchase whenever reasonably possible.

By completing the purchase, the customer accepts the equipment in its current condition.

3. New Equipment and Manufacturer Warranties

New equipment is subject to the applicable manufacturer's specifications, warranty policies, exclusions, and procedures.

Unless expressly stated in writing, Web Restaurant Equipment does not provide an additional warranty beyond any warranty offered by the manufacturer.

Manufacturer warranty claims may require the customer to work directly with the manufacturer or an authorized service provider.

Labor, travel, diagnostic charges, removal, reinstallation, freight, and other expenses may not be covered by the manufacturer's warranty.

4. Quotes and Pricing

Quotes are valid only for the period stated on the quote.

If no expiration date is stated, Web Restaurant Equipment may revise pricing at any time before payment is received.

Prices may change due to manufacturer increases, freight costs, tariffs, taxes, material costs, or other circumstances beyond our control.

A quote does not reserve inventory unless specifically stated in writing and the required deposit or payment has been received.

5. Deposits

Deposits reserve products, production capacity, special-order merchandise, or project scheduling.

Unless otherwise agreed in writing, deposits are non-refundable once merchandise has been ordered, allocated, fabricated, customized, or otherwise committed to the customer's order.

Web Restaurant Equipment may apply deposits toward costs already incurred, including manufacturer charges, freight, fabrication, design, administrative expenses, or cancellation fees.

Failure by the customer to complete payment does not automatically entitle the customer to a refund of any deposit.

6. Special Orders and Custom Products

Special-order and custom products are final sale and non-refundable once the order has been submitted to the manufacturer or production has begun.

This includes, but is not limited to:

  • Custom stainless steel

  • Custom fabrication

  • Commercial hoods

  • Ventilation equipment

  • Special-order refrigeration

  • Special-order cooking equipment

  • Custom-sized products

  • Made-to-order items

  • Products ordered specifically for a customer

Once production or procurement begins, cancellations may be refused or may be subject to charges determined by Web Restaurant Equipment.

7. Order Cancellation

Orders may not be cancelled without approval from Web Restaurant Equipment.

If cancellation is approved, the customer may be responsible for:

  • Manufacturer cancellation fees

  • Restocking fees

  • Freight costs

  • Processing fees

  • Credit card or payment processing charges where permitted

  • Custom fabrication costs

  • Administrative expenses

  • Any other costs already incurred

Web Restaurant Equipment reserves the right to deduct these amounts from any refund or deposit.

8. Payment

Payment is due according to the terms stated on the invoice, quote, order confirmation, or agreement.

Web Restaurant Equipment may require full payment before merchandise is released, shipped, delivered, installed, or made available for pickup.

Orders with unpaid balances may be delayed, withheld, cancelled, or subject to storage charges.

Ownership of merchandise does not transfer until all amounts due have been paid in full, to the extent permitted by applicable law.

9. Credit Card Disputes and Chargebacks

Customers agree to contact Web Restaurant Equipment first regarding any billing or product concern before initiating a payment dispute or chargeback.

A chargeback does not eliminate the customer's contractual payment obligations.

Web Restaurant Equipment reserves the right to provide invoices, signed documents, delivery records, photographs, communications, and other transaction records to banks, card networks, processors, or other parties involved in a payment dispute.

10. Freight and Shipping

Freight and shipping dates are estimates and are not guaranteed unless expressly agreed in writing.

Web Restaurant Equipment is not responsible for delays caused by:

  • Freight carriers

  • Manufacturers

  • Weather

  • Road conditions

  • Labor shortages

  • Supply chain disruptions

  • Government action

  • Acts of God

  • Other circumstances outside our reasonable control

Shipping and freight charges are generally non-refundable once incurred.

11. Freight Damage

The customer must inspect all shipments at the time of delivery.

Visible damage, missing items, or damaged packaging must be noted on the carrier's delivery receipt before signing.

The customer should photograph the shipment, equipment, packaging, and any visible damage immediately.

Signing a delivery receipt without noting visible damage may limit or prevent recovery from the freight carrier.

Concealed damage must be reported promptly after discovery.

Web Restaurant Equipment is not responsible for a carrier's denial of a freight claim caused by the customer's failure to properly inspect or document the delivery.

12. Delivery and Access

The customer is responsible for providing safe and reasonable access for delivery.

Unless specifically included in writing, standard delivery does not include:

  • Uncrating

  • Assembly

  • Installation

  • Removal of doors or walls

  • Stair carries

  • Inside placement

  • Electrical connection

  • Gas connection

  • Plumbing connection

  • Refrigeration connection

  • Roof work

  • Rigging

  • Removal of existing equipment

Additional labor or delivery conditions may result in additional charges.

13. Customer Pickup

For customer pickups, responsibility for the merchandise transfers to the customer once the merchandise has been accepted and loaded, subject to applicable law.

The customer is responsible for providing a suitable vehicle, trailer, straps, restraints, and transportation equipment.

Web Restaurant Equipment is not responsible for damage caused by improper transportation, securing, unloading, handling, or installation after pickup.

14. Installation

Installation is included only when expressly stated in writing.

Unless specifically included, the customer is responsible for all electrical, gas, plumbing, fire suppression, permits, inspections, roof penetrations, structural work, HVAC work, utility connections, and code compliance.

Any additional work requested outside the written scope may result in additional charges.

15. Site Conditions

The customer is responsible for confirming that equipment will fit through doors, hallways, elevators, loading areas, and final installation locations.

The customer is also responsible for verifying:

  • Dimensions

  • Voltage

  • Phase

  • Amperage

  • Gas type

  • Water requirements

  • Drain requirements

  • Ventilation requirements

  • Clearances

  • Local code requirements

Web Restaurant Equipment is not responsible for costs resulting from incorrect site measurements, utility requirements, or customer-selected specifications unless Web Restaurant Equipment expressly accepted responsibility for those items in writing.

16. Permits and Code Compliance

Unless expressly included in writing, permits, inspections, engineering, architectural services, fire suppression, electrical work, plumbing, gas work, and other code-related services are not included.

The customer is responsible for determining local requirements and obtaining necessary approvals.

17. Storage and Unclaimed Equipment

Merchandise that is ready for pickup or delivery must be accepted within a reasonable period.

Web Restaurant Equipment may charge storage fees for merchandise that remains unclaimed, unpaid, or undeliverable.

If merchandise remains unclaimed for an extended period after reasonable notice, Web Restaurant Equipment may exercise any rights available under applicable law.

18. Returns

All returns are governed by the separate Return & Refund Policy.

Approval is required before returning any merchandise.

Unauthorized returns may be refused.

19. Limitation of Liability

To the fullest extent permitted by law, Web Restaurant Equipment will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from equipment failure, delivery delays, installation issues, business interruption, loss of food, loss of sales, or other commercial losses.

To the fullest extent permitted by law, Web Restaurant Equipment's liability relating to a product or transaction will not exceed the amount actually paid to Web Restaurant Equipment for the specific product or service giving rise to the claim.

20. Third-Party Services

Web Restaurant Equipment may refer or coordinate with third-party freight carriers, installers, technicians, manufacturers, contractors, or service providers.

Unless expressly stated otherwise in writing, these third parties are independent businesses and Web Restaurant Equipment is not responsible for their acts, omissions, workmanship, delays, or separate charges.

21. Right to Refuse or Cancel Orders

Web Restaurant Equipment reserves the right to refuse, limit, suspend, or cancel an order where reasonably necessary, including in cases of:

  • Pricing errors

  • Suspected fraud

  • Payment problems

  • Inventory errors

  • Safety concerns

  • Supplier or manufacturer issues

  • Abusive or threatening conduct

  • Circumstances beyond our reasonable control

Any refund due following such cancellation will be handled according to the circumstances of the transaction and applicable law.

22. Taxes

Customers are responsible for all applicable sales, use, excise, and other taxes unless a valid exemption certificate has been provided and accepted before the transaction is completed.

23. Governing Law

These Terms of Service shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute shall be handled in a court of competent jurisdiction as permitted by applicable law.

24. Entire Agreement

The invoice, quote, written order confirmation, applicable policies, and these Terms of Service constitute the agreement between the customer and Web Restaurant Equipment concerning the transaction.

Any modification must be agreed to in writing by Web Restaurant Equipment.
